These terms are a contract between you and Construct Software Ltd. Please read them carefully. They apply from 27 October 2026.

1. About these terms

1.1 These terms apply to everyone who has a Construct Software account and uses any of our software services, including Start, Construct Software ID and the apps reached through them (together, the “Services”). “We”, “us” and “our” means Construct Software Ltd. “You” means the person using the Services and, where they use them for an organisation, that organisation.

1.2 Some Services have extra terms, set out in the schedules at the end of these terms. A schedule applies only when you use the Service it covers.

1.3 Our Platform Privacy Notice explains how we handle personal data. Where we process personal data on behalf of an organisation, our Data Processing Agreement also applies and forms part of these terms.

1.4 If we have signed a separate written agreement with your organisation, that agreement takes priority over these terms where they conflict. Otherwise, these terms and their schedules are the whole agreement between us about the Services. If these terms and a schedule conflict, the schedule takes priority for the Service it covers.

1.5 By creating an account, accepting these terms when asked, or using the Services, you agree to these terms. If you accept them for an organisation, you confirm that you are authorised to do so.

2. Who can use the Services

2.1 The Services are designed for businesses and professionals, such as contractors, engineers and the organisations they work for. You must be at least 18 years old to have an account.

2.2 If you use the Services as a consumer (for purposes wholly or mainly outside your trade, business, craft or profession), you have legal rights that these terms do not affect, and any part of these terms that would limit those rights does not apply to you.

3. Your account

3.1 Your account is created through Construct Software ID, either by you or by your organisation. One account gives you access to every Service you are licensed to use. Each account is for one person and must not be shared.

3.2 You must give accurate details and keep them up to date. You must keep your password and any sign-in codes secure, and tell us or your organisation’s administrator straight away if you think someone else has used your account. We strongly recommend turning on two-step verification.

3.3 You are responsible for activity carried out using your account, unless it results from a failure of our security.

3.4 If you use the Services on your own, you can close your account at any time from your account settings in Construct Software ID. If your account belongs to an organisation, ask its administrator to delete it. A closed account is switched off straight away and deleted 30 days later, as our Platform Privacy Notice explains. Closing an account does not refund fees already paid.

4. Organisations, administrators and users

4.1 An organisation can hold a subscription and add its own users. The organisation’s administrators decide who has access, what each user can do, and which Services and licences they have.

4.2 The organisation is responsible for its users’ use of the Services and for making sure they follow these terms. When an organisation removes a user, or its subscription ends, that user’s access to the organisation’s Services and content stops.

4.3 Content created by a user for an organisation belongs to the organisation, not the individual user, even after the user leaves.

5. Free accounts and trials

5.1 Some Services are free, and some can be tried free for a limited period. We will tell you the limits and the length of any trial before you start.

5.2 We may change, limit or stop a free Service or trial at any time. Where reasonably possible we will give you notice, and the chance to export your content, before we stop a free Service you are using.

5.3 At the end of a trial, access stops unless you take out a paid subscription. We do not charge you automatically when a trial ends.

6. Paid subscriptions

6.1 Fees. The fees for a paid subscription, and what it includes (for example the number of users, sites or licences), are those shown in your quotation or order, or in our price list when you subscribe. Fees are exclusive of VAT, which is added at the applicable rate.

6.2 Invoices and payment. We invoice in advance for each subscription period, monthly or annually as agreed. Invoices are payable within 30 days of the invoice date, by bank transfer or another method we agree.

6.3 Late payment. If an invoice is not paid on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. If payment is more than 30 days overdue, we may suspend the subscription after giving at least 14 days’ written notice. Suspension does not delete your content.

6.4 Renewal. A subscription renews automatically at the end of each subscription period for a further period of the same length, unless it is cancelled before it renews.

6.5 Cancelling. You can cancel at any time by telling us in writing. Cancellation takes effect at the end of the subscription period you have already paid for, and access continues until then. Fees already paid are not refundable, except where these terms or the law say otherwise.

6.6 Price changes. We may change our prices from the next renewal. We will tell you at least 60 days before the change takes effect, so you can cancel before it applies to you.

6.7 Changes to your subscription. You can add users, licences or Services during a subscription period; we will invoice for them pro rata. Reductions take effect from the next renewal.

7. Acceptable use

7.1 You must use the Services lawfully and only for their intended purposes. You must not:

  • try to get into accounts, organisations or data you are not authorised to use;
  • upload viruses, malicious code or anything designed to harm the Services or other users;
  • copy, modify, reverse engineer or decompile the Services, except where the law allows this;
  • use automated tools to access, scrape or overload the Services, except through an interface we provide for that purpose and within its limits;
  • carry out security or penetration testing without our written permission;
  • get round any usage or licence limits, such as the number of users, sites, buildings or projects;
  • resell the Services or give access to them to others, except as we have agreed in writing; or
  • use the Services to send unlawful, misleading, abusive or unsolicited messages.

7.2 If you find a security vulnerability, please report it to us at compliance@constructsoftware.co.uk and do not exploit or disclose it.

8. Your content

8.1 “Your content” means the information and files that you, your organisation or its users put into the Services, such as records, certificates, documents, photographs, signatures and test results. Your content belongs to you or your organisation.

8.2 You give us permission to store, copy, process and display your content only as needed to provide, secure and support the Services, and as our Platform Privacy Notice and Data Processing Agreement describe. We do not sell your content, use it for advertising, or use it to train artificial intelligence models.

8.3 You must only upload content that you have the right to upload, and that is accurate, lawful and relevant to the Service. You must not upload special category personal data (such as health information) unless a Service is designed for it, or content that is offensive or infringes anyone else’s rights.

8.4 Uploads are subject to file type and size limits and to any storage allowance in your subscription.

8.5 Deleting is permanent. When you delete a file or record, it is removed from view straight away and you cannot recover it yourself. It is permanently deleted within 90 days, unless the Service still needs it, for example as evidence or because other records depend on it, as the supplement for that Service explains. Deleted data remains in our backups for a limited period, normally no more than 90 days, and is then permanently removed. We may be able to restore from a backup in exceptional cases, but this is not guaranteed. You should keep your own copies of any records you are required to retain.

8.6 Exports. You can export your content using the export features in each Service while you have access. You can also ask us for a full export of your organisation’s content in a Service, at any time while you use that Service and during the 90 days after your subscription to it ends. We will email a download link to your organisation’s administrators (or to you, if you use the Services on your own), normally within 10 working days of your request. The link works for 7 days, and only for someone who signs in as one of those administrators (or as you); we can extend it once if you ask. The export contains your records as CSV files and your stored files in their original format. We delete our copy of the export when the link expires.

8.7 When a subscription ends. When your subscription to a Service ends, we keep your organisation’s content in that Service for 90 days from the day we tell your administrators that it has ended, so that it can be exported or the subscription restarted, and then delete it. We remind your administrators 60 days after that first notice and 7 days before the deletion date. We keep the content longer if the law requires it, if you ask us to, while a dispute or legal claim about your account is being resolved, or for a short time while we finish an export you asked for or make sure you have been told. Once your organisation’s last paid subscription has been deleted in this way, your organisation and its user accounts (or your own account, if you use the Services on your own) are closed and deleted, as our Platform Privacy Notice explains. MeetingScheduler has no subscription; its supplement explains what happens to meetings, and to exports, when access to it ends.

9. Your professional responsibility

9.1 The Services are tools that help you record, calculate, manage and report. They do not replace your own professional judgement or your organisation’s own processes.

9.2 You remain responsible for meeting your legal, regulatory and professional obligations, including carrying out inspections, tests and remedial work, checking calculations and designs, deciding whether a contractor or document is acceptable, and keeping records for the periods the law requires.

9.3 Results, certificates, calculations, scores and reports produced in the Services reflect the information entered and the settings chosen. The people who carry out the work and enter the information are responsible for its accuracy and for the work itself. Calculations and suggestions should be checked by a competent person before they are relied on.

9.4 Reminders, due dates, alerts and dashboards are provided to help, but you should not rely on them as the only way of knowing when something is due.

10. Other services and integrations

10.1 Some Services let you connect to other providers’ services, such as accounting software. When you connect one, you authorise us to exchange data with it for you, and that provider’s own terms apply to your use of their service. We are not responsible for other providers’ services.

10.2 The other providers we use to run the Services are listed in our Platform Privacy Notice and the supplement for each app.

11. Availability, support and changes

11.1 We aim to keep the Services available at all times, but we do not guarantee that they will be uninterrupted or error-free. There may be interruptions for maintenance, updates or reasons beyond our control. We try to schedule planned maintenance outside normal UK working hours and to announce it in advance in Start.

11.2 Help is available through our Help Centre and by email at support@constructsoftware.co.uk during normal UK working hours.

11.3 We develop the Services continually and may change them. We will not make changes that materially reduce the core functionality of a Service you pay for during your subscription period, unless the law or security requires it. If we plan to withdraw a paid Service, we will give at least 90 days’ notice and refund any fees paid for the period after it ends.

12. Suspending or ending access

12.1 We may suspend or end access to the Services, for a user or an organisation, if:

  • these terms are seriously or repeatedly broken;
  • we need to do so to protect the Services, other users or their data;
  • fees are overdue as described in section 6.3; or
  • we are required to do so by law.

12.2 Where reasonable, we will contact you or your organisation first and give you the chance to put things right.

12.3 Either of us may end a subscription straight away by written notice if the other seriously breaks these terms and does not put it right within 30 days of being asked, or becomes insolvent.

12.4 When access ends, the rights you have under these terms end, but sections 8.6, 8.7, 13, 14, 16, 18 and 19 continue to apply.

13. Our intellectual property

13.1 The Services, including their software, design, content and documentation, belong to Construct Software Ltd or its licensors. We give you a non-exclusive, non-transferable right to use them during your subscription or free use, only as these terms allow.

13.2 If you send us feedback or suggestions, we may use them to improve the Services without any obligation to you.

14. Confidentiality

Each of us will keep confidential any non-public information about the other’s business that we receive in connection with the Services, and use it only for the purposes of these terms. This does not apply to information that is already public, that we already had, or that we must disclose by law.

15. Data protection

15.1 We are the controller for the personal data we need to run our business and the Services, such as accounts, sign-in records and billing contacts. Our Platform Privacy Notice explains this.

15.2 For personal data in your content, your organisation (or you, if you have no organisation) is the controller and we are its processor. Our Data Processing Agreement sets out how we process that data, and forms part of these terms.

16. Liability

16.1 Nothing in these terms limits or excludes any liability that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

16.2 Subject to section 16.1, we are not liable for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.

16.3 Subject to section 16.1, our total liability to you or your organisation under or in connection with these terms in any 12-month period is limited to the fees paid to us for the Services in the 12 months before the event giving rise to the claim. If you use only free Services, it is limited to £100.

16.4 If your content is lost or damaged because of our failure, our responsibility is to use reasonable efforts to restore it from our most recent backup.

16.5 We are not liable for any failure or delay caused by events beyond our reasonable control, such as failures of the internet or of other providers’ networks, power cuts, extreme weather or industrial action. If such an event lasts more than 60 days, either of us may end the subscription by written notice.

16.6 You are responsible for, and will compensate us for, any claim brought against us by a third party because your content, or your use of the Services in breach of these terms, infringes their rights or breaks the law.

17. Changes to these terms

17.1 We may change these terms from time to time, for example because of changes to the Services, our providers or the law. Each change is published as a new version with its date, and earlier versions remain available on our website.

17.2 If a change is significant, we will give at least 30 days’ notice by email or in the Services before it takes effect, unless the law or security requires a faster change, and we will ask you to accept the new version the next time you sign in. If you do not accept it, you may cancel your subscription before the change takes effect and we will refund any fees paid for the period after that date.

17.3 Other changes take effect on the date shown, and continuing to use the Services after that date means you accept them.

18. General

18.1 Notices. We may send notices to the email address on your account or your organisation’s administrator’s account. You can send notices to support@constructsoftware.co.uk.

18.2 Transfer. You may not transfer your rights under these terms without our written agreement. We may transfer ours to another organisation that takes over the Services, and will tell you if we do; this will not reduce your rights.

18.3 Third parties. No one other than you, your organisation and us has any right to enforce these terms.

18.4 Severance. If a court decides that part of these terms is invalid, the rest stays in force.

18.5 Delay. If we do not enforce a right straight away, we can still enforce it later.

19. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.

Schedule 1: SafetyCert

S1.1 Service providers. A customer may allow a service provider to manage its SafetyCert account. The service provider may then see and update that customer’s content within the permissions the customer sets. The customer can change those permissions or remove the service provider’s access at any time. Service providers must use a customer’s account only to provide services to that customer, and are responsible to the customer for what their users do in it.

S1.2 Public system dashboards. Scanning a SafetyCert QR code opens a public dashboard showing only the information the system’s owner has chosen to make public. The owner is responsible for what it makes public. A dashboard stops working when the owner’s subscription ends. Our External Party Notice applies to people who use a dashboard.

S1.3 SMS alerts. SMS alerts depend on mobile networks and may be delayed or not delivered. They are an extra warning and must not be the only way your organisation responds to tampering or faults.

S1.4 InterimReport. An organisation that holds SafetyCert and InterimReport licences can connect the two at no extra cost. A service provider can connect its own InterimReport account to a customer’s SafetyCert account, on the service provider’s licence and within the permissions the customer sets; the service provider is responsible for the accuracy of the reports it files. The connection is suspended while a licence it depends on has lapsed. The organisation chooses what is shared. Records already exchanged stay in each app after the connection ends. Interim inspections do not replace formal inspections or certificates. Compliance issues raised from them can be closed automatically when a newer inspection arrives or the corrective action is closed in InterimReport. P1 email alerts are an extra warning, as in S1.3.

Schedule 2: CableSpec and CableSpec Pro

S2.1 Calculations. CableSpec and CableSpec Pro calculate to the version of BS 7671 and the data shown in the app. They rely on the information you enter. A competent person must check every design and calculation, and the installation itself, before relying on them. We are not responsible for designs, installations or certificates based on the calculations.

S2.2 Share links. Anyone with a project share link can view that project until the link expires or is revoked, or your subscription ends. You are responsible for who you send links to.

S2.3 API (CableSpec Pro). Your organisation may create API keys to connect its own systems. You must keep keys secret, give each key only the access it needs, and revoke a key straight away if it may have been exposed. You are responsible for everything done with your keys and for the systems you connect. Keys stop working when your subscription ends. You must stay within the rate limits we set, currently 120 requests a minute for each key. We may change the API, giving at least 90 days’ notice of changes that stop existing connections working, and may suspend a key that is being misused or putting the Service at risk.

Schedule 3: ContractorCompliance

S3.1 Contractor portal. Your organisation may invite contractors to the contractor portal. You are responsible for what you ask contractors for, and for having a lawful basis to collect and keep it. Our External Party Notice applies to contractors who use the portal.

S3.2 Employee and DBS information. The Service can hold contractors’ employee details, including National Insurance numbers, right-to-work information and DBS check status. You must only ask for and keep this information where it is necessary and lawful, including having a condition under Schedule 1 of the Data Protection Act 2018 for DBS check status, and must not keep it longer than you need it.

S3.3 Automatic document checks. The Service can send uploaded documents to Anthropic, PBC, an artificial intelligence provider in the United States, to suggest their details. Suggestions can be wrong. A person in your organisation must check them before relying on them, and decisions about contractors remain yours. You can ask us to turn automatic document checks off for your organisation.

S3.4 Scores and benchmarking. Compliance scores and benchmarks are calculated from the information and settings in the Service, to help you prioritise. They are not a statement by us about any contractor, and you must not present them as one.

S3.5 Companies House. Company information is taken from Companies House as it stands when looked up. We are not responsible for its accuracy.

Schedule 4: ContractorApplications

S4.1 Payment decisions. The Service helps you manage applications, payment and pay less notices and retention. You remain responsible for meeting the Housing Grants, Construction and Regeneration Act 1996, the Construction Industry Scheme and your contracts, including the content and timing of every notice and payment.

S4.2 Subcontractor portal. Your organisation may invite subcontractors to the subcontractor portal. Our External Party Notice applies to subcontractors who use it.

S4.3 Bank details. Subcontractors enter their own bank details. Before paying to new or changed bank details, you should confirm them with the subcontractor by a separate, trusted route, to protect against fraud. We are not responsible for payments made to incorrect bank details.

S4.4 Accounting software. If you connect Xero, Sage or QuickBooks, you authorise us to create and update contacts and bills in that software for you. You are the provider’s customer, its terms apply, and you should check what is created there. You can disconnect at any time.

S4.5 Webhooks and API. If you set up webhooks or use the API, you are responsible for the security of the web addresses and systems that receive the data, for checking webhook signatures, and for keeping API keys secret. The API, webhooks and accounting connections stop working when your subscription ends.
